Agreement to Terms
By accessing or using our website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access our services. These terms apply to all visitors, users, and others who access the service.
Services Description
Ryvoltin provides web development, digital strategy, SEO optimization, brand identity, technical consulting, and related professional services. Specific deliverables, timelines, and pricing will be outlined in individual project agreements, statements of work (SOW), or service proposals. Any additional services not specified in the original agreement will be subject to separate pricing and approval.
Project Timeline & Payment
- Project timelines are estimates and subject to change based on scope adjustments or client feedback delays
- Payment terms are specified in individual service agreements (typically 50% deposit, 50% upon completion)
- Invoices are due within 30 days of receipt unless otherwise agreed in writing
- Late payments beyond 30 days may incur a 1.5% monthly interest charge or the maximum allowed by law
- Ryvoltin reserves the right to pause work on overdue accounts until payment is received
- Client is responsible for all fees associated with collection of overdue amounts
Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide timely access to necessary information, materials, and approvals
- Designate a single point of contact for project communications
- Respond to requests for feedback or decisions within 5 business days
- Review deliverables within the specified review period (typically 5-10 business days)
- Maintain ownership and responsibility for any third-party tools, hosting, or services integrated with our work
Intellectual Property
Upon full payment for a specific project, all custom-developed code and original deliverables become the property of the client. However, Ryvoltin retains the right to:
- Showcase the work in our portfolio, case studies, and marketing materials
- Use pre-existing code libraries, frameworks, and design patterns owned by Ryvoltin
- Maintain license to any proprietary tools, systems, or methodologies
- Include a "Website by Ryvoltin" credit link in the footer (unless fees are paid to remove this credit)
Any third-party software, fonts, or assets used will be subject to their respective licenses. Ryvoltin is not responsible for third-party licensing compliance beyond initial purchase.
Revisions and Acceptance
Each service proposal includes a specified number of revision rounds. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Upon final approval, the project is considered complete. Further changes requested after final approval constitute new work subject to additional fees.
Warranties and Disclaimers
Ryvoltin warrants that services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding third-party platforms (e.g., Google, hosting providers) or specific business outcomes (e.g., search rankings, revenue increases). Our services are provided "as is," and we disclaim all other warranties, express or implied.
Limitation of Liability
To the maximum extent permitted by law, Ryvoltin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, resulting from your use of our services. Our total cumulative liability shall not exceed the amount paid by you for the specific service giving rise to the claim during the 12 months prior to the event.
Indemnification
You agree to indemnify and hold harmless Ryvoltin and its employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these terms, or your violation of any third-party rights.
Termination
Either party may terminate a project agreement with written notice if the other party breaches material terms and fails to cure within 15 days of notice. Upon termination, client shall pay for all work completed up to the termination date. Ryvoltin may suspend access to services immediately for violation of these terms or non-payment.
Governing Law
These terms shall be governed by and construed in accordance with the laws of Wisconsin, without regard to its conflict of law provisions. Any legal action arising from these terms shall be brought exclusively in the state or federal courts located in Kenosha County, Wisconsin, and you consent to personal jurisdiction there.
Changes to Terms
We reserve the right to modify these terms at any time. Changes become effective immediately upon posting. Your continued use of our services after changes constitutes acceptance. For significant changes, we will provide reasonable notice via email or website banner.
